1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Client") and Topseoagency ("we", "us", "our"), a digital marketing agency operating in Dubai, United Arab Emirates.

By accessing our website at www.topseoagency.ae, submitting an enquiry, requesting a free SEO audit, or engaging any of our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.

These Terms apply to all visitors, clients, and others who access or use our services. We reserve the right to refuse service to anyone for any reason at any time.

2. Services Description

Topseoagency provides digital marketing and SEO services including but not limited to: search engine optimization (SEO), local SEO, content marketing, link building, pay-per-click (PPC) management, technical SEO audits, and web development services.

The specific scope of services, deliverables, and timelines for each client engagement will be outlined in a separate Service Agreement or Statement of Work provided prior to commencement. These Terms operate in conjunction with any such Service Agreement.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice to active clients. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

3. Client Obligations

To enable us to provide effective SEO services, you agree to:

• Provide accurate, complete, and up-to-date information about your business, website, and target market
• Grant Topseoagency necessary access to your website, Google Search Console, Google Analytics, and other relevant platforms required to perform agreed services
• Respond to requests for information, approvals, or content within a reasonable timeframe (typically 5 business days)
• Inform us promptly of any changes to your website, business model, or target audience that may affect SEO strategy
• Not engage other SEO agencies to work on the same website simultaneously without prior written disclosure and agreement
• Ensure that all content, products, and services on your website comply with applicable UAE laws and regulations
• Make timely payment of all invoices in accordance with agreed payment terms

Failure to fulfil these obligations may impact our ability to deliver agreed services and results, and may affect the application of our 90-day guarantee.

4. Payment Terms

Unless otherwise agreed in writing, the following payment terms apply to all Topseoagency services:

• Monthly retainer services are billed in advance on the first day of each service month
• One-time services (audits, web development, etc.) require a 50% deposit before commencement, with the balance due upon completion
• Payment methods accepted include bank transfer, credit card, and payment gateway options as communicated in our invoices
• Late payment of more than 14 days may result in suspension of services. A late payment fee of 2% per month may be applied to overdue balances
• All prices are quoted exclusive of VAT. UAE VAT (5%) will be applied to all invoices in accordance with Federal Tax Authority regulations
• Currency: All fees are quoted and invoiced in UAE Dirhams (AED) unless otherwise specified

Invoices are issued electronically. You agree to receive invoices by email at the address provided during onboarding.

5. 90-Day Results Guarantee

Topseoagency offers a 90-day results guarantee subject to the following terms and conditions:

• The guarantee applies to clients who have been on an active service plan for a minimum of 90 consecutive days
• "Measurable results" means a statistically significant improvement in organic keyword rankings and/or organic website traffic as measured by Google Search Console and Google Analytics 4
• The guarantee is void if the client fails to fulfil their obligations as outlined in Section 3, makes unauthorized changes to the website, engages a third party to perform conflicting SEO work, or experiences Google penalties resulting from pre-existing violations not disclosed to us
• The guarantee is void for clients in industries or niches that present extraordinary competition or regulatory barriers
• Refund claims must be submitted in writing to hello@topseoagency.ae within 14 days of the 90-day period ending
• Refunds, where applicable, will be processed within 30 business days

6. Intellectual Property

Upon full payment of all outstanding invoices, all content, copy, and creative materials produced specifically for your website as part of our service become your property.

Topseoagency retains ownership of all proprietary methodologies, frameworks, processes, tools, and templates used to deliver services. These are not transferred to the client.

All content on the Topseoagency website — including text, graphics, logos, and images — is the property of Topseoagency and protected by UAE intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

You grant Topseoagency a non-exclusive licence to use your business name, logo, and website URL for the purpose of delivering agreed services and, with your permission, for use in our portfolio and case studies.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive business information shared during the course of the engagement. This includes but is not limited to: business strategies, financial data, customer lists, technical systems, and any information marked as confidential.

Topseoagency will not share your confidential business information with third parties without your written consent, except where required by UAE law or regulation.

This confidentiality obligation survives termination of the service agreement for a period of two (2) years.

8. Limitation of Liability

To the maximum extent permitted by UAE law, Topseoagency shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business opportunities — arising from or related to your use of our services.

Our total cumulative liability to you for any claims arising from or related to our services shall not exceed the total fees paid by you to Topseoagency in the three (3) months immediately preceding the event giving rise to the claim.

Topseoagency is not liable for:

• Changes to Google's algorithm or ranking factors that affect website performance
• Third-party platform changes (Google Ads, Google Business Profile, social media platforms)
• Ranking fluctuations caused by competitor SEO activity
• Website downtime, security breaches, or technical issues caused by your hosting provider
• Any loss arising from your failure to provide accurate or complete information

9. Termination

Either party may terminate a monthly service agreement by providing written notice of at least 30 days. Notice must be submitted in writing to hello@topseoagency.ae.

Topseoagency reserves the right to terminate services immediately and without notice if:

• You fail to make payment within 30 days of the invoice due date
• You request that we implement SEO tactics that violate Google's Webmaster Guidelines
• You engage in conduct that is abusive, threatening, or discriminatory toward our team
• You provide materially false information about your business or website

Upon termination, you will retain full ownership and access to your website and all accounts. We will provide an orderly handover of all work product within 14 business days of termination.

No refunds are provided for the current month's retainer upon client-initiated termination, unless the 90-day guarantee conditions are met.

10. Prohibited Use

You agree not to use our website or services to:

• Violate any applicable UAE federal or emirate-level laws or regulations
• Promote illegal products, services, or activities
• Infringe upon the intellectual property rights of any third party
• Transmit any harmful, offensive, defamatory, or fraudulent content
• Attempt to gain unauthorized access to our systems or third-party platforms
• Engage in any activity that could damage our reputation or the reputation of our clients

We reserve the right to refuse service to any business that operates in industries we determine to be incompatible with our values or policies, including but not limited to: gambling, adult content, or businesses engaged in illegal activities.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the emirate of Dubai.

In the event of any dispute arising from or related to these Terms or our services, the parties agree to first attempt to resolve the matter through good-faith negotiation. If negotiation fails, disputes shall be referred to the Dubai Courts or Dubai International Arbitration Centre (DIAC), as mutually agreed.

The language of all proceedings shall be English.

12. Changes to These Terms

We reserve the right to update these Terms of Service at any time. When we do, we will revise the "last updated" date at the top of this page and, where changes are material, notify active clients by email.

Your continued use of our website or services following the posting of revised Terms constitutes acceptance of those changes. We encourage you to review these Terms periodically.
